Senior Legal Director at Cimpress
Cimpress is seeking an experienced, versatile, hard-working and driven Senior Legal Director to join its legal team. Reporting to Cimpress’ General Counsel, the Senior Legal Director will play a key role in supporting a range of matters, including:

  • M&A and Strategic Transactions: Structuring, negotiating, and closing M&A and other strategic transactions
  • Public Company Compliance: Preparing and reviewing public company securities filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, proxy statements, and earnings disclosures; actively participating in Disclosure Committee processes
  • Corporate Governance: Assisting Cimpress’ Board of Directors and its committees with drafting resolutions, minutes, and meeting materials
  • Equity Matters: Providing advice on long-term incentive (LTI) plan administration and drafting award agreements
  • Debt Financings: Executing debt financing transactions such as credit agreement amendments and bond offerings, including related ongoing compliance
  • Commercial Contracts: Drafting and negotiating commercial contracts, including vendor agreements, procurement agreements, and intellectual property licenses
  • Global Compliance Program: Supporting Cimpress’ global compliance program, including managing the confidential reporting helpline
  • Cross-Functional Support: Providing legal support to Cimpress’ tax, treasury, investor relations, sustainability, HR, and communications teams
  • External Counsel Management: Partnering with and managing outside counsel to address complex legal issues efficiently

 

Your Qualifications 

  • Legal Experience: Minimum of 7+ years of legal experience, including 4+ years at a nationally recognized law firm with a focus on transactional work
  • Public Company Experience: Recent experience working at a U.S. publicly traded company, including managing SEC reporting and securities law compliance
  • Project Management: Excellent project management skills with the ability to multitask, prioritize and respond quickly
  • Analytical and Communication Skills: Exceptional analytical, negotiation, and communication skills with the ability to simplify complex legal and business issues for diverse audiences
  • Mindset and Adaptability: A growth mindset with a commitment to continuous improvement, a willingness to embrace change, and an interest in business challenges and opportunities
  • Professionalism: High degree of professionalism, integrity, and sound judgment in all aspects of work
  • Education: Juris Doctor (JD) degree from a top ABA-accredited law school
  • Bar Admission: Admission to the bar in any state required; Massachusetts bar admission is preferred
