While small in number, these team members deliver tremendous value to our stakeholders each year. 

 

What You Will Do: 

Cimpress is seeking a highly experienced, versatile, hard-working and driven Deputy General Counsel to join its legal team. Reporting to Cimpress’ General Counsel, the Deputy General Counsel will play a key role in supporting a range of matters, including:

  • M&A and Strategic Transactions: Structuring, negotiating, and closing M&A and other strategic transactions
  • Public Company Compliance: Preparing and reviewing public company securities filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, proxy statements, and earnings disclosures; actively participating in Disclosure Committee processes
  • Corporate Governance: Assisting Cimpress’ Board of Directors and its committees with meeting materials, drafting resolutions and minutes, and advising on governance matters
  • Equity Matters: Providing advice on long-term incentive (LTI) plan administration, drafting award agreements, and reviewing 10b5-1 trading plans
  • Debt Financings: Executing debt financing transactions such as credit agreement amendments and bond offerings, including related ongoing compliance
  • Commercial Contracts: Drafting and negotiating complex contracts, including vendor agreements, procurement agreements, and intellectual property licenses
  • Regulatory Compliance: Monitoring legal and regulatory changes affecting the business and advising accordingly
  • Corporate Development: Supporting corporate development efforts by evaluating potential acquisition targets from both a legal and business perspective
  • Global Compliance Program: Overseeing the administration of Cimpress’ global compliance program, including managing the confidential reporting helpline
  • Risk Management: Participating in enterprise risk management reviews to identify and mitigate risks
  • Cross-Functional Support: Providing legal support to Cimpress’ tax, treasury, investor relations, sustainability, HR, and communications teams
  • External Counsel Management: Partnering with and managing outside counsel to address complex legal issues efficiently

 

Your Qualifications: 

  • Legal Experience: Minimum of 10+ years of legal experience, including 6+ years at a nationally recognized law firm with a focus on transactional work
    • Proven ability to independently lead complex transactions from term sheet to closing
    • Candidates are encouraged to submit a deal sheet and may be asked to prepare an issues list based on an unaided review of draft documents
  • Public Company Experience: Recent experience working at a U.S. publicly traded company, preferably with a global presence, including managing SEC reporting and securities law compliance
  • Project Management: Excellent project management skills with the ability to multitask, prioritize and respond quickly in a fast-paced environment
  • Analytical and Communication Skills: Exceptional analytical, negotiation, and communication skills with the ability to simplify complex legal and business issues for diverse audiences
  • Financial Acumen: Proficiency in analyzing financial statements and valuation models, showcasing a clear understanding of financial principles and their impact on business decisions
  • Business Acumen: Demonstrated business savvy and executive presence, with a track record as a trusted advisor to boards of directors, executives and senior leaders on strategic matters
  • Mindset and Adaptability: A growth mindset with a commitment to continuous improvement, a willingness to embrace change, and an interest in business challenges and opportunities
  • Professionalism: High degree of professionalism, integrity, and sound judgment in all aspects of work
  • Education: Juris Doctor (JD) degree from a top ABA-accredited law school
  • Bar Admission: Admission to the bar in any state required; Massachusetts bar admission is preferred

Occasional travel may be required for attendance at company events and evaluation of potential acquisition targets, or recommended for professional development opportunities, such as attending legal conferences or visiting a Cimpress manufacturing facility.
